2. DEFINITIONS

• "Platform" - Spacira's AI-powered property management platform accessible via web and mobile applications
• "User" - Any individual or entity using the Platform including property owners, tenants, developers, and service providers
• "Property Owner" - Individual or entity owning property listed on the Platform
• "Tenant" - Individual or entity renting property through the Platform
• "Developer" - Property developer using the Platform for off-plan management
• "Services" - All features provided including lease management, property onboarding, AI chatbot, analytics, tenant scoring, and service management
• "RERA" - Real Estate Regulatory Agency, Dubai Land Department

3. REGISTRATION AND ACCOUNT

3.1 User Eligibility

• Users must be at least 18 years of age and legally capable of entering contracts
• All registration information must be true, accurate, current, and complete
• Users must maintain and promptly update registration details

3.2 Account Security

• Users are responsible for maintaining confidentiality of login credentials
• Users must notify Spacira immediately of any unauthorized access
• Spacira reserves the right to suspend or terminate accounts for security violations

3.3 Verification

• By registering, you authorize Spacira to verify your details through phone calls, video KYC, and document verification
• Verification calls may be recorded for quality assurance
• Property owners and developers may require additional RERA-compliant verification

4. PLATFORM SERVICES

4.1 Lease Creation and Management

• Spacira provides digital lease creation, management, and renewal tools
• All leases must comply with Dubai Law No. 26 of 2007 and RERA regulations
• Lease agreements must be registered with Ejari as per Dubai Land Department requirements

4.2 External Lease Management

• Users may import and manage existing lease agreements
• Spacira is not responsible for terms of externally created leases
• Users warrant they have rights to upload such documentation

4.3 Single User Portal

• Unified dashboard for owners and tenants to manage properties, payments, and communications
• Role-based access controls ensure data segregation

4.4 Off-Plan Management and Reminders

• Developers can manage off-plan properties with automated milestone tracking
• Payment reminders and notifications comply with RERA disclosure requirements
• Construction timeline tracking and buyer communication tools

4.5 Property Management by Spacira

• Optional full-service property management including maintenance coordination, tenant screening, and rent collection
• Managed properties require separate service agreements
• Spacira acts as licensed property manager in compliance with RERA requirements

4.6 AI Chatbot and 24/7 Customer Support

• AI-powered chatbot provides automated assistance
• Chatbot responses are informational only and do not constitute legal or financial advice
• Human support available through ticket system

4.7 Analytics and Reports

• Real-time property performance analytics and customizable reports
• Data accuracy depends on user-provided information
• Reports are for informational purposes only

4.8 Property Onboarding and Management

• Streamlined digital property listing and documentation
• Property details must be accurate and comply with RERA advertising regulations
• False or misleading property information may result in account suspension

4.9 Property Rental Flow

• End-to-end rental process from listing to lease signing
• Rent calculations follow RERA rent index guidelines
• All transactions subject to Dubai Land Department regulations

4.10 Property Service Management

• Automated ticket management for maintenance and service requests
• Service provider network for property maintenance
• Spacira is not liable for third-party service provider performance

4.11 RERA Index Compliance

• Rent increases calculated according to RERA rent index
• Automatic compliance checks for lease renewals
• Users remain responsible for legal compliance

4.12 Tenant Scoring

• AI-powered tenant evaluation based on payment history, behavior, and documentation
• Scores are advisory only and do not constitute recommendations
• Users must comply with UAE anti-discrimination laws in tenant selection

4.13 Advertisement Posting

• Property advertisements must comply with RERA marketing regulations
• Spacira reserves the right to remove non-compliant listings
• Users warrant they have authority to advertise listed properties

5. USER OBLIGATIONS

5.1 Prohibited Activities

Users agree NOT to:

• Provide false, inaccurate, or misleading information
• Use automated tools to scrape or collect data from the Platform
• Attempt to breach security or authentication measures
• Upload viruses, malware, or harmful code
• Violate any UAE or Dubai laws including RERA regulations
• Impersonate other users or entities
• Interfere with other users' enjoyment of the Platform
• Use the Platform for illegal property transactions or money laundering

5.2 Content Responsibility

• Users are solely responsible for content they upload
• Users grant Spacira a royalty-free, perpetual license to use uploaded content for Platform operations
• Spacira may remove content that violates terms or applicable laws

6. PAYMENTS AND FEES

6.1 Platform Fees

• Spacira charges subscription and transaction fees as outlined in pricing plans
• Fees are non-refundable unless otherwise stated
• Spacira reserves the right to modify fees with 30 days' notice

6.2 Rent Payments

• Tenants may process rent payments through the Platform
• Payment processing subject to third-party provider terms
• Spacira is not liable for payment processing delays or failures

6.3 Service Charges

• Service charges for managed properties must comply with RERA transparency requirements
• Detailed breakdown provided in user agreements

10. LIABILITY AND DISCLAIMERS

10.1 Platform Availability

• Platform provided "AS IS" and "AS AVAILABLE"
• Spacira does not guarantee uninterrupted access
• Scheduled maintenance may cause temporary unavailability

10.2 Limitation of Liability

• Spacira not liable for indirect, consequential, or special damages
• Maximum liability limited to fees paid by user in preceding 12 months
• No liability for third-party service provider actions
• No liability for user property transactions or disputes

10.3 User Indemnification

Users indemnify Spacira against:

• Claims arising from user content or Platform use
• Violations of these terms or applicable laws
• Property disputes between owners and tenants
• Third-party claims related to user activities

11. DISPUTE RESOLUTION

11.1 Governing Law

• Terms governed by UAE Federal Law and Dubai local laws
• Property matters subject to RERA jurisdiction
• Disputes subject to Dubai Courts jurisdiction

11.2 Rental Disputes

• Landlord-tenant disputes subject to Dubai Rental Dispute Settlement Centre
• Platform data may be used as evidence in dispute proceedings

12. TERMINATION

12.1 Termination by Spacira

Spacira may suspend or terminate accounts for:

• Terms violations
• Fraudulent activity
• RERA compliance violations
• Non-payment of fees
• At Spacira's discretion without cause

12.2 Termination by User

• Users may terminate accounts with 30 days' notice
• Active leases and obligations continue per agreements
• No refund of prepaid fees
